Definitions

• Agreement: The mutual consent between WebyMom and the client after reviewing this document.
• Client: The person or business entity with whom the project specification is associated.
• WebyMom: The trade name representing WebyMom.
• Project: The work described by the specification and governed by this agreement.
• Specification: The details or guidelines of the project provided by the client.

Accepting the Project and Development

• The rates specified by WebyMom are valid for 30 days from the date of project approval. After this period, rates may be revised or upgraded without prior acceptance by the client.
• The project terms become effective only when both parties (WebyMom and the client) sign the agreement.
• Project costs are subject to change based on new requirements. Clients will be notified of cost changes.
• Clients must report errors within 20 days of project completion. WebyMom will address errors promptly.
• If no errors are reported within 20 days, WebyMom assumes the project has been successfully implemented and closed.

Modifications to the Agreement

• Clients must communicate amendments to specifications via email or written notification. Failure to notify makes the amendments negligible.
• WebyMom reserves the right to charge for additional work not covered in the original agreement and may request payment in advance for these changes.
• Clients must respond to amendment notifications within 7 days. Failure to respond forfeits their right to request modifications to the original agreement.

Client Responsibilities

• Clients must comply with government e-commerce laws and tax regulations. WebyMom is not liable for legal issues arising from client non-compliance.
• WebyMom may include honorary credits (e.g., designs, code) in its work.
• WebyMom reserves the right to showcase completed projects as part of its portfolio unless otherwise agreed upon.
• Timely communication from the client is essential for meeting project deadlines. Delays from the client’s side may affect deadlines, for which WebyMom cannot be held responsible.

Payment Terms

• Clients must make a deposit as requested in the agreement. WebyMom will not start the project until the deposit is received.
• Invoices must be cleared within 30 days of issuance. Unpaid invoices may result in legal action unless the client notifies WebyMom of delays.
• Payment methods include cash, cheque, or bank transfer. Returned cheques will incur additional charges.
• Prices quoted are valid only within the agreed timeframe. Extensions by the client may require a revised quotation.

Standing Invoices

• If invoices remain unpaid beyond 30 days, WebyMom may cease work on the project and remove it from websites or other platforms.
• A late payment fee of 8% will apply to the base rate for every 30-day delay until full payment is received.
• Clients remain liable for payment of the agreed amount even if WebyMom removes the work.

Copyright and Ownership

• WebyMom retains ownership of the work unless otherwise stated. Clients cannot reproduce, copy, distribute, or share the work without written permission from WebyMom.
• If a project is terminated by the client, WebyMom retains ownership of the data and work completed up to that point.
• Clients must ensure that materials provided to WebyMom do not infringe copyright laws. WebyMom is not responsible for legal disputes arising from client-provided materials.

Confidentiality

• WebyMom and the client agree to a non-disclosure agreement to safeguard each other’s proprietary information.
• If confidentiality is breached, the client must notify WebyMom immediately in writing.

Cancellation Policy

• Clients may cancel a project by sending a written request. Cancellation during the project requires payment for work completed up to the cancellation date.
• WebyMom reserves the right to cancel a project if the client violates the agreed terms or working guidelines.

Additional Terms

• Any other terms and conditions can be mutually agreed upon and documented in the written agreement.
